Terms & Conditions
Terms & Conditions applicable to 3545 services and subscriptions.
1. Provider details

2. Scope
These Terms & Conditions apply to any order of services and/or subscriptions (maintenance, support, recurring services) placed with 3545, by consumers (B2C) and/or professionals (B2B), worldwide.
3. Orders
Orders are placed via an online quote. The contract is formed upon acceptance of the quote and, where applicable, online payment/subscription (Stripe or another stated method). 3545 may refuse an order in case of technical impossibility, payment failure, or fraud.
4. Pricing
Prices are those stated in the quote and/or subscription page, in EUR unless otherwise specified. VAT is applied according to applicable rules. Third‑party costs (e.g., licenses, domains, external services) are included only if stated in the quote.
5. Payment
Unless otherwise specified, payment is due upfront. Payments are preferably made via Stripe (card or bank debit) or, depending on the project, via bank transfer. A deposit (often 50%) may be required; the balance is payable upon delivery/acceptance as stated in the quote.
6. Timeline and performance
Timelines depend on the service and are stated in the quote when relevant. They may be adjusted in case of client delays (missing content, late approvals, out‑of‑scope requests) or force majeure.
7. Acceptance and revisions
An acceptance phase may apply. Unless otherwise specified, 4 rounds of revisions are included. Additional or out‑of‑scope requests may be quoted separately.
8. Client content
The client provides required texts/images and warrants they have the necessary rights/licenses. If needed, 3545 can help complete content, with any extra cost stated in the quote.
9. Subscriptions (maintenance/support)
Subscriptions may be monthly or yearly and renew automatically unless cancelled. Unless a commitment period applies, the client may cancel at any time with one (1) month notice. If a commitment period applies, cancellation with one month notice is available once the commitment period has ended.
Support: 7/7 from 8:00 to 20:00, replies within 24 business hours (except exceptional circumstances).
10. Withdrawal right (B2C)
Consumers generally have 14 days to withdraw. However, if the consumer expressly requests immediate performance before the end of the withdrawal period, they acknowledge they may lose the withdrawal right once the service is fully performed, or owe a proportional amount if performance has started.
11. Intellectual property
Unless otherwise stated, rights on deliverables produced for the client are transferred after full payment. Third‑party components remain subject to their licenses. 3545 retains know‑how, methods and generic tools used.
12. Liability
3545 will use reasonable efforts to perform the services. Liability cannot be engaged for client fault, third‑party services/providers, hosting, software editors, or force majeure. Except for mandatory legal provisions, liability is capped at the amount paid for the relevant order (or the insurance cap if applicable).
13. Termination / cancellation
Each party may terminate under the quote/subscription terms. If a started project is cancelled, work performed and incurred costs remain due; deposits may be kept proportionally.
14. Mediation (B2C) and disputes
Consumer mediator: to be appointed. In the meantime, consumers may contact 3545 and use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.
These Terms are governed by French law. Courts of Melun have jurisdiction, subject to mandatory consumer rules.
